營口港(gang)(gang)務股份有(you)限(xian)公(gong)司(si)(si)是2000年3月6日經(jing)遼寧(ning)省(sheng)人民(min)政(zheng)府遼政(zheng)(2000)46號文批復,由營口港(gang)(gang)務集(ji)團有(you)限(xian)公(gong)司(si)(si)作(zuo)為主發(fa)起人,聯合(he)大連吉(ji)糧(liang)(liang)海運有(you)限(xian)公(gong)司(si)(si)、遼寧(ning)省(sheng)五金(jin)礦(kuang)產(chan)進出口公(gong)司(si)(si)、吉(ji)林省(sheng)利(li)達經(jing)濟貿易中(zhong)心、中(zhong)糧(liang)(liang)遼寧(ning)糧(liang)(liang)油進出口公(gong)司(si)(si)四家發(fa)起人共同發(fa)起設立(li)。公(gong)司(si)(si)于(yu)2000年3月22日在遼寧(ning)省(sheng)工商(shang)行(xing)政(zheng)管理局登(deng)記注冊成立(li),注冊資本為人民(min)幣1.5億元。公(gong)司(si)(si)主要(yao)從事(shi)散雜貨物(wu)的裝卸、堆存和運輸服務,業務主要(yao)涵蓋金(jin)屬(shu)礦(kuang)石、非金(jin)屬(shu)礦(kuang)石、鋼材、糧(liang)(liang)食、化(hua)肥(fei)、鋁粉(fen)、固體(ti)化(hua)工、木片、毛豆油、淀粉(fen)等多個貨種(zhong)。
為進(jin)一(yi)步擴(kuo)大港口規(gui)模,增(zeng)強(qiang)公(gong)(gong)(gong)司(si)(si)的(de)(de)核(he)心競(jing)爭(zheng)力(li),在(zai)對各(ge)種融資方式進(jin)行(xing)比(bi)較后(hou),公(gong)(gong)(gong)司(si)(si)確定以發(fa)行(xing)可(ke)(ke)轉(zhuan)(zhuan)債(zhai)(zhai)的(de)(de)方式進(jin)行(xing)二次(ci)融資。2004年(nian)3月(yue)(yue)15日(ri),公(gong)(gong)(gong)司(si)(si)發(fa)行(xing)可(ke)(ke)轉(zhuan)(zhuan)債(zhai)(zhai)的(de)(de)申請通過中國(guo)證(zheng)監會發(fa)審委審核(he)。2004年(nian)5月(yue)(yue)20日(ri),公(gong)(gong)(gong)司(si)(si)7億元可(ke)(ke)轉(zhuan)(zhuan)債(zhai)(zhai)順利發(fa)行(xing),6月(yue)(yue)3日(ri),公(gong)(gong)(gong)司(si)(si)可(ke)(ke)轉(zhuan)(zhuan)債(zhai)(zhai)在(zai)上海證(zheng)券交(jiao)易(yi)(yi)所(suo)上市交(jiao)易(yi)(yi),轉(zhuan)(zhuan)債(zhai)(zhai)代碼(ma)(ma):110317。可(ke)(ke)轉(zhuan)(zhuan)債(zhai)(zhai)發(fa)行(xing)后(hou),公(gong)(gong)(gong)司(si)(si)用(yong)募集(ji)資金(jin)收(shou)購了三期(qi)工程多用(yong)途泊位(wei)和成品油及液體化工品碼(ma)(ma)頭。為避免(mian)同業競(jing)爭(zheng)和進(jin)一(yi)步減少(shao)關聯(lian)交(jiao)易(yi)(yi),2004年(nian)6-7月(yue)(yue),公(gong)(gong)(gong)司(si)(si)收(shou)購了營口中遠國(guo)際集(ji)裝(zhuang)箱(xiang)碼(ma)(ma)頭有限(xian)責任(ren)公(gong)(gong)(gong)司(si)(si)50%的(de)(de)股權(quan)、營口港實業發(fa)展有限(xian)責任(ren)公(gong)(gong)(gong)司(si)(si)99.44%的(de)(de)股權(quan),并整體收(shou)購了營口港務集(ji)團汽車運輸公(gong)(gong)(gong)司(si)(si)。收(shou)購完成后(hou),公(gong)(gong)(gong)司(si)(si)開(kai)始(shi)介入收(shou)益良(liang)好(hao)的(de)(de)集(ji)裝(zhuang)箱(xiang)業務。
